1. Overview

This Acceptable Use Policy ("AUP") governs Customer's and its Authorized Users' use of the Covlant AI platform and associated services ("Service"). This AUP is incorporated by reference into the Covlant Master Cloud Services Agreement ("Agreement"). Capitalized terms not defined herein have the meanings given in the Agreement.

Covlant built its platform to help engineering teams ship better software faster. This AUP exists to protect the integrity of the Service, other customers, and third parties. Violations may result in suspension or termination of access in accordance with the Agreement.

2. Prohibited Uses

Customer and its Authorized Users must not use the Service to:

2.1 Illegal or Harmful Activity

  • Violate any applicable local, national, or international law or regulation

  • Facilitate fraud, money laundering, or other financial crimes

  • Infringe any third-party intellectual property, privacy, or other rights

  • Transmit, store, or process data in violation of applicable data protection laws

  • Engage in any activity that is defamatory, harassing, threatening, or abusive

2.2 Security Violations

  • Attempt to gain unauthorized access to the Service, other customers' data, or Covlant's infrastructure

  • Conduct penetration testing, vulnerability scanning, or security testing of the Service without Covlant's prior written consent

  • Introduce malware, viruses, trojans, or any other malicious code into the Service

  • Intercept, monitor, or tamper with data that does not belong to Customer

  • Circumvent any security, authentication, or access control mechanism of the Service

2.3 Service Integrity

  • Use the Service in any manner that disrupts, degrades, or places unreasonable load on Covlant's infrastructure or networks

  • Attempt to reverse engineer, decompile, disassemble, or extract source code, algorithms, or underlying models from the Service

  • Use automated scripts, bots, or scrapers to access the Service in a manner inconsistent with normal use or the Documentation

  • Resell, sublicense, or provide access to the Service to any third party except as expressly permitted in the Agreement

2.4 Prohibited Data

  • Submit Prohibited Data to the Service as defined in the Agreement, including classified government information, payment card data (unless covered by an applicable PCI-DSS addendum), protected health information (unless covered by an applicable BAA), or bulk government-issued identification numbers

  • Submit any data whose processing is prohibited by applicable law or that Customer does not have the right to process

2.5 Competitive and Reputational Harm

  • Use the Service to develop, train, or improve any product or service that directly competes with the Service

  • Use Output generated by the Service to make false or misleading representations about Covlant or its products

3. Responsible Use of AI Features

The Service includes AI and ML-powered features that generate Output based on Customer Content. Customer acknowledges that:

  • AI-generated Output may be inaccurate, incomplete, or unsuitable for specific purposes and is not a substitute for human review and judgment

  • Customer is solely responsible for reviewing, validating, and determining the appropriateness of any Output before relying on it in production environments

  • Customer must not use the Service to generate Output intended to deceive, manipulate, or cause harm to any individual or organization

  • Customer must not represent AI-generated Output as having been produced by a human where such misrepresentation could cause harm

4. Customer Responsibilities

Customer is responsible for:

  • Ensuring all Authorized Users are aware of and comply with this AUP

  • Promptly investigating and remediating any AUP violation by an Authorized User

  • Maintaining appropriate access controls to prevent unauthorized use of Customer's account

  • Reporting any suspected AUP violations or misuse of the Service to Covlant at support@covlant.ai

Customer remains liable for all use of the Service under its account, including use by Authorized Users.

5. Enforcement

Covlant reserves the right to investigate any suspected violation of this AUP. If Covlant determines that a violation has occurred or is reasonably likely to occur, Covlant may, without limiting any other rights or remedies available under the Agreement:

  • Issue a written warning to Customer

  • Temporarily suspend access to the Service in accordance with Section 3.3 of the Agreement

  • Terminate the Agreement or applicable Order Form in accordance with Section 9.2 of the Agreement

  • Report any activity that Covlant reasonably believes to be unlawful to appropriate law enforcement authorities

Covlant will use commercially reasonable efforts to notify Customer before taking enforcement action, except where immediate action is necessary to protect the Service, other customers, or third parties.

6. Reporting Violations

If you become aware of any use of the Service that violates this AUP, please report it to us at legal@covlant.ai. Covlant will investigate all reports and take appropriate action.

7. Updates to this Policy

Covlant may update this AUP from time to time with reasonable prior notice to Customers. Continued use of the Service following notice of an update constitutes acceptance of the revised AUP.
